6. Fundability

6.1 Would I invest at pre-seed or seed?
Pre-seed: No. It's a catalog pattern with no team, traction or pricing, in a market where 149 PAs and several funded French players (Pennylane, Qonto, Tiime, Sellsy) compete for the same merchants, and where the platform can close the gap with one partnership. The ceiling for the Shopify France wedge is roughly $15–20k MRR. That's a good small business, not a venture return.
I'd look again only if all of these were true:
- a founder who has sold to French SMEs or accountants, or built Shopify apps with a track record;
- a multi-platform, multi-country plan with signed partner terms, i.e. a Quaderno-style "compliance layer for online sellers" across the EU;
- 300+ paying merchants with ≥70% month-6 retention by mid-2027.
Seed: No. Seed needs a repeatable channel beyond a one-time deadline. This business's best months are a single wave.
6.2 What a skeptical investor says in the first five minutes
- "Tiime, Abby and Pennylane's micro plan are free. Why would a merchant pay you €19?"
- "What happens the day Shopify signs with a PA the way PrestaShop did with Pennylane?"
- "Sufio is an established Shopify invoice app and says e-reporting is 'planned'. What's your lead when they ship?"
- "Your margin depends on a partner's price. What's in the contract?"
- "What's demand after September 2027?"
- "If you report the wrong VAT to the DGFiP, who pays?"
- "Why France and not a bigger platform like Stripe across several countries?"
- "The reform slipped from 2024 to 2026. What if small firms slip to 2028?"
- "Who on the team speaks French and knows French VAT?"
- "What stops a PA from building this Shopify app themselves?"
If you can't answer 1, 2 and 4 crisply, the rest doesn't matter.
6.3 Three proof points that would change the answer
| # | Proof point | Threshold | Why it matters |
|---|---|---|---|
| 1 | Paid conversion against free | ≥25% of installs convert to paid at ≥€30 ARPA, with ≥50% of payers on Pro or Plus | Proves merchants pay for Shopify-specific work over a free PA |
| 2 | Money outcome per merchant | Median VAT over-declaration found ≥€50 a month per merchant through the shipping-VAT check, or 0 rejections against a measured rejection rate for CSV-plus-free-PA | Turns "compliance" (fear) into "pays for itself" (money) |
| 3 | A second channel | ≥30% of new paying merchants from accountants or agencies by month 12 | Proves demand continues after the deadline spike |
A fourth that matters for an exit: a partner PA or invoicing company asking to buy or white-label the app. That's the realistic "venture" outcome here.
6.4 Bootstrap or raise?
Bootstrap. Specifically:
- Build cost is low. Shopify app plus a partner PA's API. No certification, no network software. A small team can ship v1 in 8–10 weeks.
- Revenue arrives early. The €49 pilot pays from week 3, and the deadline brings the buyers.
- Money doesn't buy the thing you need. What wins here is being listed and reviewed early, French support and accountant trust. Money can't speed up app reviews or accountant word of mouth much.
- The exit is strategic, not venture. Quaderno went to Visma and TaxJar to Stripe. Here, the natural buyers are PAs and invoicing apps that want installed Shopify merchants. A clean, profitable $5–15k MRR app is sellable.
- Exception: none. Even a strong team shouldn't raise for a single-country, single-platform wedge with a one-time wave.
Honest bottom line: as described (any tool, any mandate) it isn't fundable, and bootstrapping it would fail because it's too broad. The narrow version doesn't need funding, and its best outcome is a profitable small business or a sale to a PA.
